Welcome to Analaize Limited (“Analaize,” “we,” “our,” or “us”).   • Other bespoke services agreed upon with clients

Specific deliverables, timelines, and fees for each engagement will be defined in a proposal, contract, or Service Level Agreement (SLA).

3. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information necessary for service delivery.
  • Pay fees as agreed before service commencement.
  • Provide timely feedback, approvals, or materials needed to complete the project.
  • Comply with applicable laws and regulations when using our services.

4. Fees and Payment

  • All fees are payable in full or as agreed in the signed proposal or SLA before commencement of work.
  • Analaize Limited reserves the right to suspend or delay services for late or incomplete payments.
  • Client remains responsible for any taxes, bank charges, or third-party fees associated with payments.

5. Cancellations and Refunds

Cancellations and refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms & Conditions. By engaging our services, you agree to the terms of that policy.

6. Intellectual Property

  • All methodologies, training materials, research instruments, software code, designs, and processes developed by Analaize Limited remain its intellectual property unless explicitly transferred by written agreement.
  • Clients receive a limited, non-exclusive license to use deliverables for their internal purposes only.
  • Clients may not resell, reproduce, or distribute Analaize’s materials without prior written consent.

7. Confidentiality

Both parties agree to keep all confidential information (client data, candidate information, research data, software, trade secrets) strictly confidential and not to disclose it to any third party without written consent, except where required by law. This obligation survives termination of services.

8. Third-Party Services and Costs

Some services may involve third-party platforms, advertising, or software subscriptions.

  • Any third-party costs will be communicated in advance and may be invoiced separately.
  • Analaize Limited is not liable for the performance or downtime of third-party services beyond its control.

9. Limitation of Liability

  • Analaize Limited’s liability for any claim arising from our services is limited to the total amount paid by the client for the specific service under dispute.
  • Analaize Limited is not liable for indirect, consequential, or incidental damages (such as loss of profits, revenue, or data) arising from the use of our services.

10. Termination

Either party may terminate an engagement in accordance with the signed proposal or SLA:

  • Without cause: prior to service commencement, with written notice.
  • For cause: immediately, if there is a material breach that is not remedied within a reasonable time.

Termination does not affect obligations that, by their nature, should survive (such as confidentiality and payment of outstanding fees).

11. Dispute Resolution

Any disputes will first be resolved through internal discussions between the parties.
If unresolved, disputes will be referred to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act.

12. Changes to Terms

Analaize Limited reserves the right to update or modify these Terms & Conditions at any time. Updates will take effect upon posting on our website or notifying clients directly.

13. Governing Law

These Terms & Conditions and any disputes arising from them shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
